The corporate and finance department utilize and gain, to a great extent, from the boardroom experience of Yuval Levy and Opher Levy, both of whom have been or are currently serving as active directors in financial and credit institutions. There is no substitute for "hands on" experience, and these two partners incorporate their business acumen into the legal dynamics of this department in an unparalleled manner.
Opher Levy, head of the corporate department, and Tamar Krongrad, who handles the international corporate work at the firm, are both graduates of prestigious US academic institutions and are admitted to the NY Bar. Fluent in both Hebrew and English, well-versed in both Israeli and US corporate law, and cognizant of the differences in culture which can often hinder what should otherwise be a smooth deal, these two partners work as a team, enabling clients to ask and receive timely and professional consultations regarding their specific matters, at all times. Members of the corporate department realize that time is of the essence for their clients, and have structured their availability accordingly.
The strength of Yuval Levy’s corporate department lies in the synergy created with other practice groups, and in particular, the expertise in the developing arena of antitrust law in Israel. The firm’s M&A clients are represented by the highest legal calibre, in appearances before the Antitrust Tribunal and negotiations with the Commissioner of the Antitrust Authority. In over thirty years of experience, the firm’s corporate professionals have been involved in a vast number of commercial transactions, linking some of the largest players in the global business arena in their encounter with local encounters in Israel – offering its clients extensive international experience in special events in the lives of their companies.
The firm provides a full service corporate practice, with experience of years in securities compliance, corporate governance, equity financings, minority rights, due diligence review, management-related issues (including preparation of stock option plans for employees, in accordance with the Israel Tax Ordinance), "hands-on" assistance in raising of funds, as well as other business concerns.
Yuval Levy & Co.’s corporate and finance practice began over thirty years ago, with the firm’s formation. The range of transactions and their complexity grew over time – beginning, of course, with Yuval Levy’s representation of Israel Chemicals Ltd. in international mergers and acquisitions (eg in the formation of a partnership with a Chilean company for purchase of one of the world’s largest producers of iodine, in the acquisition of a large West German chemical company and producer of speciality fertilizers, in the acquisition of phosphoric acid and a specialised fertilizers plant in Holland, in longterm acquisition contracts for the purchase of sulphur from Canada, in the representation of ICL regarding various term loan agreements with various European financial institutions, in the sale of various Israeli subsidiaries, etc.). Since then, members of the firm have distinguished themselves in matters ranging from the representation of an Israeli manufacturer of food products, in long-term manufacturing, distribution, trademark and licensing agreements, representation of a manufacturer of micro-irrigation, integral driplines, agricultural sprinklers, and residential and landscape technologies in the formation of joint ventures in the USA and Australia, representation of one of the world’s leading developer and supplier of audio signal processing software tools in equity financings, representation of an Israeli winery in various corporate matters, to describe but just a few of the transactions.
While looking at the firm’s client list in the corporate and financing arena is like leafing through a "who’s who" of international business leaders, for reasons of confidentiality, the firm does not publish most client names.
